Welcome to HealoGenic.ai ("HealoGenic," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the HealoGenic.ai website, mobile applications, APIs, and all related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are between 16 and 18 years of age (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

2. Not a Medical Service

HealoGenic.ai provides educational information about Ayurvedic traditions, yoga, meditation, holistic nutrition, and general wellness topics. The Service is intended solely for informational and educational purposes.

The Service does not provide:

• Medical advice, diagnosis, or treatment
• Mental health counseling or therapy
• Prescriptions or pharmaceutical recommendations
• Emergency medical services

If you are experiencing a medical emergency, stop using the Service and call 911 (USA), 999 (UK), 000 (Australia), 112 (EU), or your local emergency number immediately.

3. Assumption of Risk

You acknowledge and agree that any wellness practices, dietary changes, herbal remedies, exercise routines, or lifestyle modifications you undertake based on information obtained through the Service are done entirely at your own risk. You should consult a qualified healthcare provider before starting any new wellness program, particularly if you:

• Have any pre-existing medical conditions
• Are pregnant or nursing
• Take prescription medications
• Have known allergies to herbs, plants, or supplements
• Are under the care of a medical professional

Individual results from wellness practices vary. HealoGenic makes no guarantees regarding the efficacy, safety, or outcomes of any information, remedy, practice, or recommendation presented on the Service.

4. Your Account

To access certain features, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at security@healogenic.ai if you suspect unauthorized access.

5. Subscription Terms

5.1 Plans and Pricing

HealoGenic offers free and paid subscription plans (Plus and Premium). Current pricing is available at healogenic.ai/pricing. We reserve the right to modify pricing with 30 days' advance notice to active subscribers.

5.2 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date. You will be charged through the payment method on file with our payment processor, Stripe.

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until your current period expires.

5.4 Refund Policy

We offer a full refund within 14 days of your initial subscription purchase or any renewal charge, provided you contact us at support@healogenic.ai. After 14 days, refunds are issued at our sole discretion. Refund requests for annual plans are prorated based on unused months.

6. AI-Generated Content Notice

HealoGenic uses artificial intelligence (Amazon Bedrock, powered by Anthropic Claude) to assist in creating educational content, generating personalized recommendations, and powering interactive features including the Healo Guide conversational assistant. You acknowledge that:

• AI-generated content is reviewed by human editors before publication, but may contain inaccuracies
• The Healo Guide chatbot is an AI assistant, not a human practitioner
• Personalization features use algorithmic curation, not professional clinical judgment
• AI outputs should not be treated as professional medical or wellness advice

7. Intellectual Property

All content on the Service — including text, graphics, logos, icons, images, audio clips, data compilations, and software — is the property of HealoGenic.ai or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

"HealoGenic," the HealoGenic logo, "Healo Guide," and related marks are trademarks of HealoGenic.ai. You may not use these marks without our prior written consent.

8. User-Generated Content

Where the Service allows you to submit content (such as ratings, reviews, or community posts in future features), you grant HealoGenic a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and display such content in connection with operating and improving the Service.

You represent that you own or have the necessary rights to any content you submit. You agree not to submit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to promote illegal activities
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service's infrastructure
• Scrape, crawl, or use automated means to extract data from the Service without our written permission
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Service to provide medical advice to others or hold yourself out as a medical professional based on information from the Service

10. Limitation of Liability

To the maximum extent permitted by applicable law, HealoGenic.ai, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with:

• Your use of or inability to use the Service
• Any health decisions made based on information obtained through the Service
• Any adverse health effects resulting from following wellness recommendations on the Service
• Unauthorized access to or alteration of your data or transmissions
• Any third-party content or conduct on the Service

In no event shall our total aggregate liability exceed the greater of (a) the amount you paid to HealoGenic in the 12 months preceding the claim, or (b) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless HealoGenic.ai, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any health-related decisions you make based on information from the Service.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States of America, without regard to its conflict of law principles.

12.2 Mandatory Arbitration (USA Users)

If you are located in the United States, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in Fairfax County, Virginia, or remotely at your election.

12.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against HealoGenic.ai.

12.4 EU/UK Carve-Out

If you are a consumer resident of the European Union or the United Kingdom, the mandatory arbitration and class action waiver provisions in Sections 12.2 and 12.3 do not apply to you to the extent they conflict with mandatory consumer protection laws in your jurisdiction. You retain all rights to bring claims in the courts of your country of residence. Nothing in these Terms affects your statutory rights under EU consumer protection directives or UK consumer protection legislation.

12.5 Australia Carve-Out

If you are a consumer resident of Australia, nothing in these Terms excludes, restricts, or modifies consumer guarantees or other rights that you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or similar state and territory legislation that cannot be excluded, restricted, or modified by agreement.

13. Account Termination

You may delete your account at any time through your account settings or by contacting support@healogenic.ai. We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms. Upon termination:

• Your right to access the Service ceases immediately
• We will delete your personal data in accordance with our Privacy Policy, subject to any legal retention obligations
• Any active subscription will not be renewed, and you may request a prorated refund for unused time in accordance with Section 5.4

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on the Service and updating the "Last Updated" date. For material changes, we will also provide notice via email to the address associated with your account at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
