CONTENT LICENSING AGREEMENT

Version 1.0 — Effective Date: March 2026

This Content Licensing Agreement ("Agreement") is entered into between you ("Contributor") and HealoGenic.ai ("Platform"), a wellness education platform operated by HealoGenic, Inc.

By submitting content to the Platform, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

1. LICENSE GRANT

You grant HealoGenic.ai a non-exclusive, perpetual, worldwide, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and create derivative works from your submitted content ("Content") in connection with the Platform and its services, including but not limited to the website, mobile applications, newsletters, social media channels, and promotional materials.

This license includes the right to sublicense the Content to third-party partners and distributors in connection with the Platform's operations.

2. OWNERSHIP & MORAL RIGHTS

You retain full ownership of your original Content. Nothing in this Agreement transfers ownership of your intellectual property to HealoGenic.ai.

To the extent permitted by applicable law, you waive any moral rights you may have in the Content as it is used by the Platform, including the right to be identified as the author in all contexts and the right to object to modifications made for compliance, formatting, or editorial purposes.

3. REPRESENTATIONS & WARRANTIES

By submitting Content, you represent and warrant that:

(a) The Content is your original work or you have obtained all necessary rights, licenses, and permissions to grant the license described herein;

(b) The Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party;

(d) Any health, wellness, or nutritional information contained in the Content is accurate to the best of your knowledge and is presented for educational purposes only, not as medical advice;

(e) You have the legal capacity and authority to enter into this Agreement.

4. EDITORIAL RIGHTS

HealoGenic.ai reserves the right to edit, modify, or adapt submitted Content for the following purposes:

(a) Ensuring compliance with applicable laws, regulations, and Platform policies; (b) Formatting and style consistency with the Platform's editorial standards; (c) Accuracy verification and fact-checking; (d) Adding appropriate health disclaimers and safety warnings; (e) Optimizing Content for search engines and user experience.

Substantial editorial changes that materially alter the meaning or intent of your Content will be communicated to you prior to publication where practicable.

5. CONTENT TAKEDOWN

You may request the removal of your Content from the Platform by providing thirty (30) days' written notice to admin@healogenic.ai. Upon receipt of a valid takedown request:

(a) HealoGenic.ai will remove the Content from public-facing pages within thirty (30) days; (b) Cached, archived, or derivative versions may persist for a reasonable period during the removal process; (c) Content that has been incorporated into composite works (such as curated collections or educational courses) may be retained in modified form with attribution removed upon request.

6. INDEPENDENT CONTRACTOR

Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency relationship between you and HealoGenic.ai. You are an independent contributor and are solely responsible for your own taxes, insurance, and compliance with applicable laws.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless HealoGenic.ai, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) Your breach of any representation, warranty, or obligation under this Agreement; (b) Your Content, including any claim that the Content infringes upon the rights of a third party; (c) Your use of the Platform in violation of this Agreement or applicable law.

8. REVENUE SHARING

Revenue sharing arrangements are not included in the initial version of this Agreement. HealoGenic.ai reserves the right to introduce revenue sharing programs for contributors in future versions of this Agreement, which will be communicated with reasonable advance notice.

9. MODIFICATIONS

HealoGenic.ai reserves the right to modify this Agreement at any time. Updated versions will be posted on the Platform with a new version number and effective date. Your continued submission of Content after the effective date of a modified Agreement constitutes acceptance of the updated terms.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
